Terms of Use and Terms and Conditions
These terms govern access to and use of ChangeControl. ChangeControl is proprietary commercial software owned, developed and maintained by Quesabyte IT Solutions (PTY) LTD, www.quesabyte.co.za. It is not freeware.
1. Ownership and License
All rights, title and interest in ChangeControl, including source code, designs, documentation, branding assets, workflows, update packages and related intellectual property, remain with Quesabyte IT Solutions (PTY) LTD or its licensors. Use is permitted only under a valid license, subscription, written agreement, trial, demo or other authorisation issued by Quesabyte IT Solutions (PTY) LTD.
No user, MSP or customer receives ownership of the software. Unless expressly authorised in writing, users may not copy, resell, sublicense, reverse engineer, bypass licensing controls, remove proprietary notices, publish source code or provide ChangeControl as a competing hosted service.
2. MSP and Customer Responsibilities
The MSP or instance owner is responsible for lawful deployment, user management, access control, customer configuration, backup management, change approval quality, evidence classification, retention periods, incident response and compliance with contracts, laws and industry frameworks that apply to their operations.
MSPs must ensure that customer approvers are authorised to approve or reject change requests and that any personal information, confidential information, CUI or regulated data uploaded into ChangeControl is handled lawfully.
3. Acceptable Use
Users must not use ChangeControl to perform unlawful activity, harass others, upload malware, store unnecessary secrets, bypass security controls, impersonate another person, tamper with audit logs, overload hosting services or process data they are not authorised to process.
4. No Compliance Guarantee
ChangeControl provides workflow, approval, audit trail, evidence and reporting features that may support governance and compliance activities. It does not guarantee compliance with CMMC, DoD contractual requirements, GDPR, POPIA, PAIA, data protection law, cybersecurity certification rules, industry standards or customer contractual obligations. Compliance outcomes depend on how the MSP configures, operates and documents the system.
5. Third-Party Services
ChangeControl may integrate with Microsoft Graph, Microsoft Entra, ConnectWise PSA, HESK, SMTP services, cPanel hosting, Windows Server, MySQL/MariaDB and other third-party systems. Quesabyte IT Solutions (PTY) LTD is not responsible for outages, API changes, data handling, licensing terms, charges, account suspensions or security incidents caused by third-party services.
6. Data Protection
The MSP or instance owner normally determines the purposes and means for processing personal information within their instance and is responsible for notices, lawful basis, data subject requests, processor agreements, retention and cross-border transfer obligations. Quesabyte IT Solutions (PTY) LTD will only process support information and licensing information as needed to provide licensing, support, updates and maintenance, unless a separate written agreement states otherwise.
7. Indemnity
To the maximum extent permitted by applicable law, each MSP, customer and user agrees to indemnify, defend and hold harmless Quesabyte IT Solutions (PTY) LTD, its directors, employees, contractors, suppliers and authorised partners from any claim, demand, loss, liability, damage, penalty, cost or expense, including reasonable legal fees, arising from misuse of ChangeControl, unauthorised access, unlawful processing, customer configuration decisions, failed change implementation, inaccurate approvals, uploaded content, breach of these terms, breach of third-party terms, or violation of applicable law or customer contracts.
8. Limitation of Liability
To the maximum extent permitted by applicable law, ChangeControl is provided without warranties of uninterrupted operation, error-free performance, fitness for a particular regulatory outcome or prevention of business loss. Quesabyte IT Solutions (PTY) LTD will not be liable for indirect, incidental, special, punitive or consequential damages, loss of profits, loss of revenue, loss of data, business interruption, failed changes, customer disputes or regulatory penalties arising from use or inability to use the software.
9. Suspension and Termination
Quesabyte IT Solutions (PTY) LTD may suspend licensing, updates or support where a license expires, payment is not made, a user attempts to bypass licensing, the software is misused, or continued use creates legal, security or operational risk. On termination, the MSP remains responsible for exporting and retaining any records required by law or contract.
10. Updates to Terms
These terms may be updated with future releases. Continued use after an update means the MSP and users accept the updated terms, unless a separate signed agreement states otherwise.
